Terms of Service

These Terms of Service ("Terms") govern your access to and use of the iDen2 website, platform, and any related products, APIs, SDKs, documentation, and services (collectively, the "Services") provided by iDen2 Inc. ("iDen2", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You may use the Services only if you can form a binding contract with iDen2 and are not barred from doing so under applicable law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

Access to certain Services requires an account or credentials. You are responsible for keeping your credentials, cryptographic keys, and recovery material confidential and for all activity that occurs under your account. Notify us promptly at info@iden2.com of any suspected unauthorized use.

The iDen2 platform enables issuance, holding, presentation, and verification of digital credentials. iDen2 provides infrastructure; iDen2 is not the issuer of your credentials, does not vouch for the underlying claims, and does not act as your legal representative. Verifiers are responsible for their own acceptance criteria and downstream decisions.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information. By using the Services, you acknowledge that policy.

Some Services are offered under a commercial agreement or order form. Fees, payment terms, and refund policies are set out in that agreement. Free or evaluation access may be modified or discontinued at any time.

The Services, including software, documentation, brand marks, and content, are owned by iDen2 or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, iDen2 grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved.

You retain ownership of content and data you submit to the Services. You grant iDen2 a limited license to host, process, and transmit that content as necessary to operate and improve the Services. You are responsible for the accuracy and legality of content you submit and for having the necessary rights to submit it.

The Services interoperate with third-party standards and systems, including W3C Verifiable Credentials, ISO 18013-5, OpenID for Verifiable Credentials, and eIDAS 2.0 frameworks. iDen2 does not control third-party systems and is not responsible for their availability, accuracy, or terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IDEN2 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEN2 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. IDEN2'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID IDEN2 FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You will defend, indemnify, and hold harmless iDen2 and its affiliates from any claim, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services or your breach of these Terms.

We may suspend or terminate your access to the Services at any time, with or without notice, for any conduct that we reasonably believe violates these Terms or is harmful to other users, iDen2, or third parties. You may stop using the Services at any time.

We may modify the Services or these Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by additional notice. Your continued use of the Services after changes take effect constitutes acceptance.

These Terms are governed by the laws of the jurisdiction in which iDen2 Inc. is incorporated, without regard to conflict of laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where prohibited by applicable law. Governing law and venue to be confirmed by counsel.
